Partner Program Requirements and Regulations
This document sets forth the terms and conditions applicable to participation in the Partner Program ("Program"). By applying to or participating in the Program, you ("Applicant" or "Partner") agree to comply with these requirements and regulations. Failure to adhere to these terms may result in the rejection of your application or termination of your partnership status.
1. Eligibility Requirements
1.1. Prohibition on Competition
Partners shall not engage in activities or offer services that directly compete with the Company’s products or services. Any potential conflicts of interest must be disclosed in writing at the time of application.
1.2. Application Process Timeline
The Company reserves the right to take up to 10 weeks to review and process applications. Incomplete or inaccurate submissions will result in delays or disqualification.
1.3. How We Share Your Information
To qualify for the Program, Applicants must either.
- Provide a distinctive and valuable feature or service that enhances the Company’s offerings.
- Enroll in a paid partner plan, granting access to exclusive benefits such as technical support, co-marketing opportunities, and training.
1.4. Minimum Revenue Requirement
Applicants must demonstrate an annual revenue of at least €500,000 (or equivalent in USD) as proof of financial stability and operational capacity.
1.5. Geographical Restrictions
Applicants must maintain a registered office within Europe or the United States. Applications from entities based outside these regions will not be considered.
2. Ongoing Obligations
2.1. Adherence to Program Policies
Partners are required to comply with all policies outlined in the Partner Agreement. This includes safeguarding intellectual property, maintaining confidentiality, and adhering to ethical standards.
2.2. Adherence to Program Policies
The Company reserves the right to conduct periodic reviews of Partner performance and compliance with Program standards. Partners failing to meet these standards may face suspension or termination of their partnership status.
2.3. Public Acknowledgment of Partnership
Partners must visibly display the Company’s official partner logo on their website and promotional materials in accordance with branding guidelines provided by the Company.
2.4. Submission of Reports
Partners are required to submit quarterly reports detailing financial performance and any metrics requested by the Company. Failure to do so may result in penalties or termination.
2.5. Benefits of Participation
Approved Partners may receive, at the Company’s sole discretion, access to:
- Technical resources and support.
- Co-branding and co-marketing initiatives.
- Priority access to beta features and new releases.
- A dedicated account manager for partnership support.
3. Disqualification and Termination
3.1. Grounds for Disqualification
- Failure to meet any eligibility or ongoing requirements.
- Breach of the Partner Agreement or related policies.
- Engagement in unethical or illegal practices.
3.2. Termination of Partnership
The Company reserves the right to terminate the partnership with immediate effect in cases of non-compliance or any conduct deemed detrimental to the Company’s interests.
3.3. Notice of Termination
In cases of termination, the Company will provide written notice outlining the reasons for the decision. Partners may appeal the decision by submitting a formal request within 30 days of the notice.
4. Compliance with Non-Collaboration and Partnership Restrictions Policy
All applicants and approved Partners must comply with the terms set forth in the Ciphera Group's official Non-Collaboration and Partnership Restrictions Policy. This includes, but is not limited to, the prohibition of partnerships with entities located in or affiliated with countries under international sanctions or armed conflict, and any entity listed on Ciphera’s internal blacklist.
Compliance with this policy will be reviewed during the application process. Failure to meet these legal and ethical standards will result in automatic disqualification or immediate termination of any existing partnership agreement.
